Senior Lawyer M&A

Responsibilities:

• Advising and evaluating deal rationale, financial projections, risk assessment;
• Overseeing due diligence, financial planning, scoping, negotiations;
• Planing and implementing negotiation strategy and leading the negotiations with stakeholders;
• Drafting, review of the documentation related to equity investments, joint ventures, financings and other transactions worldwide mostly in the fintech-related spheres, including close work with local external counsels on the said matters where applicable;
• Conducting corporate, intellectual property and other due diligence for purposes of the above transactions;
• Conducting legal research and other transactions-related work;
• Other various tasks connected with family office needs and UBO’s personal assets, including intra-group restructurings and financings, close work with local advisers in Cyprus, BVI and other jurisdictions;
• Preparing memos on various legal matters;
• Managing deal closings in multiple jurisdictions;
• Leading/participating in teleconferences and meetings (English and Russian language).

Requirements:

- High education, MSU/HSE/MGIMO/MSAL (Kutafin Academy) is a plus;

- ILF/RULF/Investment company/Family office background with strong corporate and M&A experience from 7-10 years;

- Good knowledge of Russian law and English law concepts;

- Ability to manage cross-border transactions;

- Excellent drafting skills;

- Fluent English is a must.
